Submissions

All requests, reports, evaluations, comments, suggestions, feedback, ideas and other submissions offered or submitted by you to SaneShopping (the "Submissions") shall be and remain the property of ClayValet, Inc., and you hereby assign to ClayValet, Inc. all worldwide rights, title, and interest of any kind whatsoever in such Submissions. ClayValet, Inc. shall exclusively own all such rights, title, and interests and shall not be limited in any manner in its use of the Submissions for any purpose, including but not limited to reproduction, disclosure, transmission, publication, broadcast, posting, developing, manufacturing, and marketing products or services using information contained in such Submissions. ClayValet, Inc. is and shall be under no obligation to pay any compensation for any Submission. If you make any Submissions to any portion of SaneShopping you agree not to post or transmit any lewd, profane, obscene, sexually graphic, indecent, libelous, violent, harassing, inflammatory, fraudulent or otherwise inappropriate material, or any material that violates any person's privacy or rights of publicity; or which is harmful to ClayValet's or any other systems and networks. ClayValet, Inc. reserves the right to edit or remove any Submission that, in its judgment, is not appropriate.

Indemnification

You agree to defend, indemnify, and hold harmless ClayValet, its vendors, and their affiliates and related entities and each of their respective directors, officers, employees, and agents from and against all claims, losses, damages, liabilities, and costs (including but not limited to reasonable attorneys' fees and court costs), arising out of or relating to your breach of these Terms or your access to or use of SaneShopping. The foregoing indemnification obligation shall survive termination of these Terms, the Site itself, and any product or service relating to your use of SaneShopping.

Miscellaneous

This Agreement and any claims against ClayValet, Inc. shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflicts of law provisions. Sole and exclusive jurisdiction for any action or proceeding arising out of, or related to, these Terms, or any use of SaneShopping, shall be in the state or federal courts located in King County, State of Washington, USA.

These Terms constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. No waiver by ClayValet, Inc. of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the Terms and shall not affect the validity and enforceability of any other provisions of the Terms. The section headings in these Terms are for convenience only and shall in no way affect the interpretation of the Terms.
